Vodafone Group Plc completed the buyout of CK Hutchison Group Telecom Holdings Limited from VodafoneThree Holdings Limited on 30 July 2026. This transaction means Vodafone is now the sole owner of VodafoneThree.
As a result of the buyout, CK Hutchison no longer holds any shares, interests, or rights in VodafoneThree and has ceased to exercise control over the entity. Consequently, CK Hutchison is no longer bound by the Final Undertakings, according to clause 2.3. Vodafone's obligations under these undertakings remain unchanged and in full effect.
The Competition and Markets Authority (CMA) concluded its merger investigation on 2 June 2025, after accepting final undertakings from the parties on 28 March 2025. The CMA had referred the anticipated joint venture for an in-depth investigation on 4 April 2024, citing concerns that it might lead to a substantial lessening of competition in the UK market.
