Winkworth launches High Court proceedings against non-executive chair

Estate agency group M Winkworth has commenced High Court proceedings against its non-executive chair, Simon Agace. The action follows independent legal advice and concerns alleged breaches of confidentiality, provisions of a relationship agreement from November 2009, and associated duties as a director under the Companies Act 2006.

Winkworth has also applied for interim injunctive relief. This relief relates to proposed changes to the composition of its board and the use and disclosure of confidential company information. The company is additionally seeking information regarding the disclosure of its confidential information to third parties.

The company has stressed that the allegations have not been determined by the court, and no decision has yet been made on its application for interim relief. Winkworth stated that its business continues to operate as usual, with the executive team focused on delivering its strategy. Further updates will be provided as appropriate.
